The Role:
The ideal candidate will have experience as Intellectual property and technology transactions associate (experience with SaaS, etc.), not just general commercial transactions experience. This is a Specialist role within IT transactions and licenses.

Our client is seeking an experienced Contracts Attorney to support the Downstream & Chemicals Business Level in San Ramon, CA. The position is open as backfill due to the resignation of the current FTE in the role. This highly visible position has the opportunity to convert perm based on excellent performance and skills.

The main function of a Contract Attorney is to draft, process, finalize and coordinate the execution of a variety of IT agreements, including Cloud, SaaS, IaaS, PaaS, Software Licensing, IT Professional Services, SOWs, Evaluation, and other agreements for hardware/software.

Responsibilities for this position may include but are not limited to:

* Preparing and negotiating a variety of information technology agreements including, but not limited to the following: Cloud agreement, SaaS, IaaS, PaaS, Software License, IT Professional Services, SOWs, Evaluation, and other agreements for software/hardware, all based on consultation with business partners and review by attorneys.
* Engaging and providing recommendations (risk analysis) to procurement, various business partners, SMEs, IT security teams and attorneys to negotiate the terms and conditions of the agreement.
* Working closely with subject matter experts, including tax, IT security/ information risk management, data privacy and other compliance counsels to negotiate appropriate terms.
* Issue spotting and communicating risks to various stakeholders.
* Working closely with business partners and attorneys to resolve a variety of day-to-day issues, and supporting a broad range of IT transactions and/or projects.
* Performing legal due diligence and engaging with various stakeholders to ensure that company guidelines and policies are followed.
* Multi-tasking and prioritizing work assignments to consistently provide high-quality work product in a high growth and fast-paced work environment.

Required Qualifications:
* JD degree licensed to practice law required, preferably in California or Texas.
* Minimum of 3 years' experience as an attorney supporting IT transaction required.
* Contracting expertise relating to IT agreements, including the ability to effectively analyze and communicate IT and legal issues across broad functional and organizational lines (e.g., procurement, business partners and attorneys) required.
* Experience with Cloud-based service transactions strongly preferred.
* Experience drafting and negotiating IT contracts required.
* MS Office experience required - Word, Excel, Outlook, SharePoint
* Previous Attorney with IT Transactions experience within an Enterprise environment or law firm environment
* Strong analytical ability and problem solving skills required.
* Strong communications skills (both oral and written) required.
* Self-starter and fast learner, who has a passion to learn about new technologies and who is adept at working in a true team environment and partnering with procurement, business partners, IT security/ information risk management teams, senior management, clients, in-house counsel, outside counsel and staff.
* Knowledge and understanding of the Microsoft Office suite of tools and legal research applications.
* Strong organizational skills.
* Ability to maintain high quality performance under tight deadlines and competing priorities in a fast-paced work environment.
* A general understanding of concepts relating to confidentiality, data security and intellectual property in IT transactions.
* Local candidates strongly preferred. If candidate is from outside San Ramon/Bay Area, candidate must be willing to relocate on their own.
