The Role:
MANAGER GSS (Operations)

Division: Group Secretarial Services

Reporting to: Snr Manager

Job Description:

Corporate Statutory Compliance
* Ensure Statutory Compliance for all companies within the Group complies with the rules and regulations of regulatory bodies i.e. Bursa Malaysia Securities Berhad, Foreign Investment Committee, Securities Commission, and Companies Commission of Malaysia.
* Ensure that no penalty for late filing or public reprimand are being imposed to the Company and its subsidiaries by being prudent in ensuring that all submission of documents are submitted within the stipulated time frame.
* Ensure the announcements and submissions to Bursa Malaysia are prioritized to safeguard the company's interest.
Corporate Exercises (Formation of New Companies, Transfer of Shares, Acquisition, Bonus Isseue, Restructuring etc.)
* Incorporation of new subsidiaries i.e. local or overseas.
* Understand the requirements of other applicable laws and regulations.
* Follow up on approval of incorporation.
* Take part in Corporate Exercise undertaken by the company and its subsidiaries.
* Assist in due diligence exercises.
* Ensure that the company and its subsidiaries adhere to the application laws and regulations.


Board/General Meetings
* Perform the duty of a Company Secretary for subsidiaries of The Group either locally or overseas.
* Plan and manage the Board of Directors meetings for the Group and its subsidiaries. Liaise with the relevant parties involve in preparing the board papers. Ensure that board meetings are conducted as per the requirements of the applicable laws and guidelines. Ensure that distribution of the Board papers to the respective directors are within the stipulated period and are in the orderly manner.

Corporate Governance
* Ensure that the Group of Companies adheres to the requirements of good corporate governance.
* Ensure that the directors of the company and its subsidiaries comply with good governance practices i.e. number of directorship for each director, continuous education training, disclosure of interest by directors, undertakings by directors and etc.

Corporate Secretarial Advisor
* Provide advice to the directors and the management on Company Law, Secretarial Practices and other applicable guidelines, practice note etc.

Custodian of Statutory Documents
* Responsible for the confidentiality and safe custody of the company statutory documents (e.g. board papers, minutes of meeting, statutory forms, etc), ensure systematic storage for easy retrieval.
* Ensure that the affixations of the Company Seal are as per the requirements of the respective Companies Articles of Association, a keeper of the Group common seals.

Share Registration
* Prepare the Board Paper informing the Board of Directors on company shares movement at Bursa Malaysia.
* Manage the issuance of dividend warrants to shareholders in timely manner, advice the Finance department on the opening and closing of dividend accounts, liaise with Registrar of Unclaimed Monies on unclaimed money, ensure that timely payment and returns.

Legalization of Statutory Documents
Responsible for the legalization of statutory documents in meeting the requirements of overseas counterparts in facilitating their business activities.

Management of Information
Analyse corporate secretarial issues and problem affecting the Group by taking extensive research and keeping abreast with corporate secretarial developments. Advice board members and management on the new development for compliance.

Relationship Building
Develop and maintain professional working relationship with Board of Directors, the management, subsidiary regulatory bodies, stakeholders, local and foreign governments to promote and safeguard Group interest. Attend to all queries from the shareholders and third parties in relation to Annual Report, Dividend, documentation etc.

Staff Development
Develop, motivate and train subordinates to achieve professionalism in meeting the department objectives.

Essential Skills / Qualifications:
* Candidate must possess at least Bachelor's Degree/Post Graduate Diploma/Professional Degree in Law or equivalent.
* At least 10 Year(s) of working experience in the related field is required for this position.
* Preferably Manager specialized in Law/Legal Services or equivalent.
* MAICSA/ ICSA certified.
