This role will assist the VP Legal and Compliance with all aspects of the Legal and Compliance function at the company, both at the corporate level and in relation to its projects in Cameroon, Congo, South Africa, Nigeria and Ethiopia.

Whilst the initial focus will be on Compliance (anti-bribery and corruption, anti-money laundering and trade sanctions) matters, this role is also likely to involve a certain amount of legal work, analysis and advice (including in relation to corporate, shareholder, finance, litigation, M&A, project and operational contracts, joint venture and employment matters). The nature and amount of legal work for this role (over and above the Compliance work) will depend on the candidate's relevant experience and the company's needs and priorities.

The VP Legal and Compliance will consider in conjunction with the candidate the nature of the legal work which the candidate is asked to do at any one time.

The role will be No.2 in the Legal and Compliance team, reporting to the VP Legal and Compliance, and would join the company at an exciting time, as it looks to raise finance and develop its primary project in Cameroon.

The Role:
The main duties will include, but are not limited to:
* Day-to-day running of the compliance programme and implementation of the applicable policies and procedures, including:
o due diligence and risk assessments on 3rd party suppliers and
o consideration of compliance provisions in contracts
* Assisting VP Legal and Compliance in a 'gap analysis' exercise, to asses, devise and implement enhancements to the compliance programme and policies and procedures, including:
o corporate and country-focused risk assessments
o improvements to current policies and procedures
o where required, additional policies and processes and
o potential technology solutions/enhancements
* Keeping abreast of and advising on relevant compliance and regulatory developments and
* Assisting with other compliance-related matters/issues/queries as and when they arise

Legal work could include:
* Advising on corporate governance and shareholder matters, including in respect of the company's Shareholder Agreement
* Assisting with aspects of the company's equity and/or debt financing
* Assisting with any litigious (or potentially litigious) matters as and when they arise
* Assisting with proposed M&A activity
* Assisting with project and operational contracts relating to the company's projects and operations in Africa (primarily Cameroon and Congo)
* Assisting with joint venture matters, especially with respect to the company's JV in Cameroon
* Assisting with legal aspects of Employment/HR matters
* Liaising with and instructing counsel (on both compliance and legal matters) as required

The Candidate:
You should be able to demonstrate:
* Relevant experience and knowledge of compliance matters and relevant legislation (including in relation to anti-bribery and corruption, anti-money laundering and trade sanctions)
* Relevant experience in the oil and gas, or a similar, sector (especially in respect of compliance risks) is highly desirable
* Commercial awareness and judgement combined with a keen attention detail
* Strong inter-personal skills and an ability to forge strong working relationships with colleagues in a culturally diverse and agile, fast- paced environment
* Clarity of verbal and written communication - an ability to discuss and explain complex legal matters to and with colleagues that do not have a legal and/or commercial background
* Confidence in interacting with and advising senior and board-level management
* Overall, a team-player with a 'can-do' attitude and willingness to get involved in all types of compliance and legal work is key
* A working knowledge of GDPR is a plus but not essential
* Prior in-house experience is a plus but not essential

Bachelors degree
Current UK legal practicing certificate

Additional Information:
There may be scope for some limited and ad hoc international travel, especially to Cameroon.
