The Role:

  1. Coordinate with various departments and divisions and understand their needs in terms of contracts, tenders, auctions, controls and policies and draft, amend and review contracts and provide advice on legal risks when appropriate to attain optimal business interests, consistency with corporate documentation and compliance with applicable laws and regulations.
  2. Draft contracts to ensure that they include all required clauses and adequately represent the needs of the business and protect the business against any possible risks and share the same with the General Counsel for review and approval.
  3. Provide a proper evaluation of the risks associated with the contracts and agreements in order to ensure that Company is protected against uncontrolled risk and use the right protective legal instrument to defend against the identified risks.
  4. Provide legal opinion on legal claims on different commercial matters e.g. customers, suppliers, vendors, contractors etc. with a view of recovering company's rights or minimize liability and reaching amicable settlements in line with Management's discretion.
  5. Assist in the negotiation of agreements, tenders, auctions and contracts with relevant parties and to strive to obtain the favourable for Company.
  6. Direct and manage all Company' claims and reviewing the wording of the appropriate contractual provisions to ensure adequacy and legal compliance at optimum cost.
  7. Manage the process for all claims including issuing and filing the required notices and documents and pursue a settlement process to ensure that compliance with the company's standards, policies, applicable laws and regulations.
  8. Assist the General Counsel in managing the legal disputes and investigations for Company ensuring adequate representation of the company before judicial/arbitration, administration and governmental authorities in mediation, litigation and arbitration matters and/or acquiring registrations, licenses, permits, etc. to comply with government requirements.
  9. Advice on legal issues involving government and regulatory compliance, respond to all complaints made against the Company and provide advice for and participate in negotiations with government officials regarding such issues.
  10. Conduct investigations related to violations committed by employees, bidders or suppliers and recommend appropriate disciplinary actions.
  11. Manage and monitor the activities of the company's appointed local and foreign external counsels and law firms during mediation, litigation, arbitration or any court proceeding as well as steer the claim or defence of Company in any legal action in order to ensure that Company' rights are adequately protected and that all legal actions are resolved in a timely and cost-effective manner.
  12. Provide the General Counsel with the capability statement of the most suitable legal firms, local or foreign external counsel when requested or when external expertise is needed for special projects to ensure that Company benefits from highly qualified and efficient legal services.
  13. Provide assistance to the GC & the Company in its quest of identifying potential targets.
  14. Screen and check targets and their owners, directors and executives.
  15. Review the lifecycle of similar targets and outline to the GC & the Company any gaps, sanctions, penalties, legal exposure, areas of achievement or areas of concern.
  16. Investigate targets relying on public sources as well as on private sources.
  17. Review and advise the GC & the Company on the proper or recommended transaction approach (i.e. acquisition, joint venture or investment).
  18. Assist the GC & the Company in drafting the Information Memorandum, NBO and any other ancillary document.
  19. Review any related document or letter such as engagement letters, process letters, exclusivity and confidentiality agreements etc…
  20. Manage Mergers and Acquisitions transactions, substantial drafting, lead closings and handle diligence for deals.
  21. Draft the scope and mandate of the legal advisor to be appointed in the transaction.
  22. Draw a deal timetable that is realistic and achievable and consult with the GC on the implementation of such timetable.
  23. Access virtual data rooms, review documents and keep the GC and the Company updated and briefed about each document being uploaded.
  24. Coordinating with external M&A lawyers, foreign counsels and PMI processes regarding future internationalization/expansion strategy to acquire new terminals.

FULL JD WILL BE SENT TO SHORTLISTED CANDIDATES

  • Minimum Requirements:
  • Bachelor's degree in law from a reputable university. (Master's degree preferred)
  • 7 years of corporate & commercial, M&A experience in a similar role in large companies or law firms.
  • Preferably Arabic speaker
