Our client is a Global Engineering & Construction (E&C) Group inside which you’ll find an incredible range of expertise and opportunity.
They offer their clients a complete range of skills and services so that they can work with their teams right from the earliest ‘ideas’ stage of their planned investments, through the study or concept selection phase, the front-end design, the EPC phase, and on into the commissioning and start-up phase.

The Role:
Our Client is currently recruiting for an interim Assistant General Counsel to provide assistance and advice on a variety of corporate legal matters, with an emphasis on mergers and aquisitions, divestitures and risk management.

Our highly respected legal team engage in a diverse range of international work, providing invaluable advice and assistance on all legal and commercial activity undertaken by the Company on a worldwide basis. This position will initially be a 6 month fixed term contract 3-4 days a week; with the possibility of extension.

Responsibilities:
The successful candidates role will be working closely with the AG General Counsel and the Mergers and Acquisitions team. The key resposibilities for the role are:

• Negotiating confidentiality agreements
• Preparing of heads of terms and letters of intent
• Providing support to the M&A team in the management of internal teams and external advisers on due diligence exercises and review of due diligence reporting
• Providing support to the M&A team in their negotiation of deal terms and review of transaction documentation
• Providing assistance in obtaining internal approvals and corporate administrative documentation to facilitate transactions
• Applying Company corporate policies appropriately to the transaction processes
• Liaising with various global Company General Counsel and corporate secretaries to obtain their input into transactions
• Supporting the AG General Counsel in their review and approval of transaction terms and due diligence reports and in their engagement of external counsel
• Providing a point of contact with external counsel appointed to a transaction and working in co-operation with them to facilitate the transaction
• Providing legal advice to the M&A team
• Attending calls and meetings

The ideal candidate will be:
• A proactive and concise communicator who is able to present ideas articulately and openly and who can effectively influence and marshal buy-in from people at all levels within the legal/commercial functions
• An individual who challenges the status quo and takes responsibility for enhancing existing methodologies or delivering new ones
• Accessible with a can-do attitude focused on looking for solutions
• A robust, tenacious, hands-on advisor who will make things happen and drive through solutions to problems quickly and effectively
• An incisive, open-minded, strategic thinker
• Previous in-house experience is useful but not required

Essential Skills / Qualifications:
• A good undergraduate degree as well as being a qualified solicitor or barrister with 4 years post-qualification experience in either a City or top-tier national or regional firm’s Corporate Mergers and Acquisitions practice
• The work will have an energy/oil & gas focus and therefore experience of this sector would be ideal however strong corporate experience is the priority
• Strong drafting skills
• An ability to prioritise and manage their workload efficiently
• Demonstrable project management skills
• Sound business acumen and judgement, being able to effectively switch between the roles of legal and commercial advisor
• Experience of assisting and advising in a client-facing capacity on high quality domestic and cross-border M&A transactions (public and private), including in relation to the following key matters:
o project management and signing and completion processes
o negotiation of confidentiality agreements and heads of terms/letters of intent
