The Company:
The client is a leader within the Automation and Control Systems field with operations in 100 countries worldwide. They specialise in providing integrated solutions to the Transmission and Distribution and Oil & Gas industry with projects offshore and overseas.

The Role:
My client is looking to recruit an experienced Contract Manager who will look to strengthen its existing commercial team in Warrington.

It is essential to have knowledge and experience in some of the following areas:

• Contract law (England and Wales);
• Tendering or project / contract management in an engineering environment;
• Capital projects and their associated financing arrangements;
• Export control and the nuclear industry;
• Other routes to market such as distribution, internet;
• Dispute resolution and negotiation;
• Project reviews and internal business audit.

Commercial work will include:

1. Drafting, reviewing and revising contract documentation on a wide range of agreements:

• Supply of goods and services;
• Purchase of goods and services;
• Frameworks;
• Confidentiality;
• Distribution;
• Agency;

2. Providing commercial advice / sounding board to business managers, tendering, contracts, projects, HR and purchasing (“internal clients”) on transactions and to a lesser extent, disputes or due diligence concerning mergers/acquisitions. Also queries on English law from other parts of company overseas;

3. Supporting internal clients seeking BU or Divisional approvals or concessions;

4. Assisting in negotiations with third parties in relation to terms and conditions, product liability or settling disputes;

5. Attending risk and project reviews meetings and telephone conference regarding same;

6. Supporting the internal legal team in respect of Contract Managers core team and the negotiation of global frameworks, due diligence etc.;

7. Training internal staff (and upon occasions, customers / distributors) in group policies (training will be given as necessary), best practices and English law – especially Competition Law and the internal Code of Ethics.

Essential Skills / Qualifications:
Ideally you will a relevant qualification from either engineering, construction, law or the humanities, but what is important is competence, common sense and appropriate experience / background. You must understand contract law and be able to apply it to business situations in a logical fashion, a law qualification is not essential as the company has in-house expertise upon which to call.
The successfulcandidate could also potentially come from a Legal, QS background, project management, procurement or other background. Every successful business has to contend with customer terms and negotiate acceptable amendments and operate within today’s commercial environment, so we are not limiting our search to any particular industry. It is important to have experience of tendering or projects / business in general.
