The Role:
The diversity and number of contracts required to execute the LNG Liquefaction Project requires a specialist for the identification and management of contract and commercial related issues. The advisability of adding this position to the PMT is increased by the possibility of changes identified during the model reviews and HAZOP review. Accordingly, this position works with legal, project controls and project management in the timely identification of contract and commercial issues across all levels of the EPC Contract with CZJV for the PMT. This position reports directly to the Deputy General Counsel, with day-to-day interface with the Project Director. The work carried out through this position is targeted to the level of detail required by the Deputy General Counsel.

Objectives of the position
• Ensure everyone goes home safely every day. Ensure all contractors comply with all occupational and environmental regulations and project procedures. Ensure these requirements are included in all contracts, with appropriate enforcement provisions.
• Working with the Deputy General Counsel, develop the appropriate level of knowledge as to the construct and compliance provisions of the EPC Contract with CZJV.
• Develop plans to ensure timely compliance with all provisions of the CZJV EPC contract. Develop similar plans to ensure compliance with all other project execution agreements (CASA, O&M, etc.)
• Identify and manage all potential change orders resulting from the model and HAZOP reviews.
• Assist the Project Director by providing commercial assurance to the LNG Liquefaction Project.

Key Responsibilities
• Work to ensure everyone goes home safely each day.
• Assist the project director to provide commercial assurance to the project.
• Participate in all model and HAZOP reviews to identify any potential change order issues at the earliest possible moment. Maintain the minutes of each of these reviews. Provide immediate commercial guidance to the technical team as warranted. Follow up with the project director on these issues in a timely manner.
• Ensure the terms of the CZJV EPC Contract are respected.
• Develop processes and procedures which are aimed at compliance with the LNG Project’s obligations under the contract and agreements governing the execution of the project.
• Assume the role of Risk Manager for the PMT. Maintain the Risk Register.
• Provide recommendations to the project director regarding active management of risk and risk mitigation measures.
• Establish a framework for checking compliance with the CZJV EPC contract and other Agreements required to execute the project.
• Support the project director and project services manager in the handling of commercial administration matters.
• Develop a positive environment for discussion of commercial matters with CZJV and within the PMT.
• Assist the project director in developing and managing a compliance tool for the CASA and comparable Agreements related to the execution of the project.
• Minimize the cost and schedule impacts of change orders based on application of the contract requirements, terms and provisions.
• Take leadership in processing claims resulting from an insurable event.

Key Systems and Processes
• Knowledge of USGC contract environment.
• Ability to identify and communicate the contract compliance requirements of the FPLS EPC contract with CZJV and agreements related to the execution of the project. Develop effective tracking mechanisms to ensure compliance with all contract terms by all parties. This includes contracts and agreements within the development plan (i.e. CASA and others).
• Summarize and communicate key terms in all future contracts to the members of the PMT.
• Actively participate in the model and HAZOP reviews, minuting any potential change orderable requests. Working with the project director and project services manager, follow up on all such issues through resolution.
• Ability to negotiate change order cost and schedule impacts.
• Develop contract administration strategies.
• Manage risk and external compliance requirements. Champion pro-active management of risks and opportunities.
• Facilitate risk workshops and subsequent compilation and maintenance of the risk register.
• Provide recommendations to the project director on the implementation of risk mitigation strategies.
• Interface with members of the PMT to ensure that the commercial management of the project is well coordinated.
• Prepare drafts of contract and risk related communications for the project director.

Reporting Relationships
• This position reports directly to LNG Project Deputy General Counsel.
• This position receives day-to-day direction from the Project Director.
• This position interfaces primarily with the JV executing the fixed price, engineering, procurement and construction contract for the process facilities. Additional interface with the Owner’s Scope contractors may be required.
• This position also interfaces daily with the project services manager.

Financial Authority is described in the Financial Authority Procedure.
• Development and maintenance of effective contract compliance checklists and matrices.
• Minimize the number and cumulative value of change orders in terms of both cost and schedule.
• Development and maintenance of an effective risk register.
• Provision of risk mitigation recommendations and counsel to the project director.
• Maintaining responsibility through resolution of any change orderable issues resulting from the model and HAZOP reviews.

Key Accountabilities
• Identify project contract requirements ?X Develop an in-depth understanding of the current FPLS EPC contract with CZJV and the appropriate execution agreements.
• Assimilate all future contract and agreement requirements.
• Develop and maintain contract compliance plans, matrices, etc.
• Ensure timely compliance by both contractors and owner.
• Communicate relevant aspects of all future contracts to those charged with management of these contracts.
• Minimize the negative impact of change orders to both project cost and schedule performance.
• Manage compliance with contract requirements. ?X Identify contract compliance issues prior to their occurrence.
• Communicate the contract compliance issue in a timely manner to the project director and project services manager.
• Assist in developing a mitigation strategy or response to all compliance claims in a timely manner.
• Manage the risk register ?X Assess the quality of the current risk register.
• Develop recommendations for improvement or modification. Submit these to the project director and project controls manager.
• Implement decisions on the path forward.
• Maintain the risk management tool.
• Recommend risk mitigation strategies as required and communicate these to the project director and project services manager.
• Avoid risk events identified in the risk matrix.
• Manage change order submissions from contractors ?X Provide counter arguments were applicable.
• Recommend the appropriate responses supported by the contract or agreement.
• Ensure all time constraints are met by both parties.
• Negotiate or develop negotiating position recommendations to minimize the negative impact to the project¡¦s cost and schedule objectives.
• Participate in the model and HAZOP reviews ?X Minute any potential change orderable event, request or issue.
• Assess the validity of a change order within the constraints of the applicable contract.
• Provide recommendation to the project director and project services manager as to how to address the potential change order.
• Manage the issue through resolution.

Essential Skills / Qualifications:
Knowledge of:
• USGC contracting practices, including Fixed Price Lump Sum, Construction only, and Reimbursable Engineering contracts.
• Risk identification, assessment, ranking and development of mitigation measures
• Reasonable contract cost and schedule impacts due to change orders.
• Potential for changes resulting from major project reviews (model and HAZOP)
• Meeting cost and schedule commitments
