The Role:
• Manage and supervise the provision of legal advice to promote and safeguard the Group's interest against diminution in financial value, image and reputation whilst taking into account commercial and operational consideration.

• Assist Senior Manager to manage, strategise, supervise subordinates, negotiate and draft legal documents pertaining to domestic and international joint ventures, mergers, acquisitions and sale & purchase of shares exercises undertaken by Business Units as and when required.
• Assist Senior Manager to manage, strategise, supervise, negotiate, draft and finalize legal documents pertaining to specific projects in relation to Business Units and Subsidiaries
i. Assist SM in managing the due diligence process by ensuring the risk associated with the transaction is fully considered.
ii. Assist SM to analyze risks uncovered during the due diligence exercise and recommend solutions/structures to eliminate/minimize such risks in proceeding with the transaction.
iii. Assist SM to study the laws of other jurisdictions and understanding the local requirements such as anti-trust issues in relation to the transactions to ensure compliance.
iv. Assist SM in negotiating and finalizing the terms and arrangements necessary to effect the transaction.
v. Assist SM in reviewing and drafting of the agreements and documents related to the transaction taking into account the complexity, the business and legal requirements.
vi. Confirming whether or not the agreements are in order to be executed by the President/CEO or other authorized signatory of the Company/Group.
• Assist SM in organising standardisation of the contract templates for procurement exercises. Manage and supervise the provision of legal services for procurement exercises in relation to Projects and Non-Projects Related.
• Manage and supervise the preparation, vetting, advising and commenting on, inter alia, agency agreement, and container leasing agreements, various logistics and warehousing agreements, charter parties, subcontracts and terminal tariff agreements both internationally and domestically.
• Provide support to Company Secretarial division by acting as recording secretary for selected subsidiary and joint venture companies relevant to the Business Units/Service Units.

Candidate requirement :
• Candidate must possess at least a Bachelor's Degree in Law or equivalent.
• Have minimum of 9 years' working experience in general, corporate and commercial legal services. Shipping and logistics experience would be an advantage.
• Required skill(s): Law of Contract, Company Law, Legal Drafting, Maritime Law, Law of Tort.
