The Company:
Our client, a leader in the midstream sector, seeks a Senior Paralegal to work in Calgary, Alberta on a contract basis.

We are looking for a Paralegal to work in the Corporate, Securities & Finance Law legal department for a one year term.

The Role:
As a Paralegal your main responsibilities will be but not limited to the following job duties:

• Providing paralegal support in the area of securities law, including the filing of quarterly, continuous and annual disclosure filings on SEDAR (System for Electronic Document Analysis and Retrieval) and EDGAR (Electronic Data-Gathering, Analysis and Retrieval), notifications and filings with the Toronto Stock Exchange and New York Stock Exchange of news releases and other corporate information as required, and filing insider reports on SEDI (System for Electronic Disclosure by Insiders)
• Coordinating the preparation of, timelines and legal requirements for filings, printing and mailing of annual disclosure documents to shareholders
• Providing paralegal support in the area of corporate law, including preparing quarterly and annual resolutions, drafting resolutions for reorganizations and select transactions, attending to on-going governance matters, maintaining and updating minute books and corporate databases
• Assisting the corporation in maintaining certain compliance related filings related to legislation and other matters as necessary;
• Providing paralegal support in the area of finance law, including calculating dividend payments/preparing rate notices, assisting with financings, conversions

Essential Skills / Qualifications:
• Completion of a recognized Paralegal program;
• Minimum three years of paralegal or related experience
• Experience with filing on SEDAR, EDGAR, TSX SecureFile, and SEDI
• Experience EDGARIZING documents for filing on EDGAR
• Experience with corporate filings, drafting resolutions and maintaining minute books;
• Experience/familiarity with preparing and filing documents through Workiva platform considered an asset.
• Experience with a corporate database an asset;
• Strong legal drafting skills.
