General Position Definition

Position description - Purpose
Achieving a lower cost base is essential for the Unconventional Theme to improve competitiveness and meet our aspiration of becoming a Best in Class E&P company.

CP Wells is a critical enabling function which works in partnership with the Wells business to support the wells activities in the thematic business units. CP Wells is responsible for developing and executing contracting strategies with global, regional and local Wells and business stakeholders using comprehensive and accurate external market intelligence; ensuring robust post award contract management processes are in place and value adding results are achieved; managing third party supplier relationships in a manner that delivers sustainable Best in Class value to the business; and supporting Goal Zero for personal and process safety in the Wells business.

PT CP Wells covers all Wells related CP activities. The organization, located in multiple locations across the globe, is fully accountable to provide CP support to OU activities, incl. the start-up of Clients New Country/Area entries.

The incumbent will be a key member of the UIU NV CP Wells Unconventionals team. The task will be to provide in-country CP support to the Ukraine Ventures. The incumbent will have a senior role in the Ukraine CP team directly reporting to the CP WellS TL.

She/ He will contribute to the CP team, and execute the full spectrum of CP Wells activities from the Client Upstream and Exploration Ukraine Venture office and will typically be executing all local contracts, which typically cover the full spectrum of Strategic-Tactical-Operational contracts for these new frontier environments. She/He will have a strong working relationship with the Venture Wells staff.

Position description - Accountabilities
Sr. Contract Engineer re-tender of rigs and service will support the CP Operations for new Ukraine Ventures, tasked to provide the full range of C&P support to safely deliver several complex Exploration & Pilot wells. The incumbent will be a key player to create and mature this team, and ensure full compliance with the Client Group Business Principles, ABC guidance, CMCP and Project specific CP procedures. The responsibilities can be described in more detail as follows:

Pre-Award phase:
• Develop strategies and tactics that meet Venture project drivers, are fully integrated across the Project, and are supported by all key Stakeholders.
• Drive identification and development of sustainable Local Content opportunities.
• Drive Supplier pre-qualification (Technical, Financial, HSSE)
• Prepare and issue invitations to tender, in close cooperation with the Contract Holders
• Ensure that the approved HSSE standards and Goal Zero policies are fully incorporated in the process of contractor selection and in the subsequent work execution phases
• Run tender clarification process and negotiations with supplier(s)
• Develop tender evaluation plans and conduct bid evaluation
• Prepare and present contracting strategy, tender and award proposals to Venture Tender Board for endorsement
• Prepare and execute final contract documents
• Set-up and manage an auditable Records Management system for CP
• Contribute to the PTW-CP team network and share of standards, Market Intelligence and best practices.

Post –award phase:
• In close cooperation with the Contract Holder, develop and execute the Contract Management Plan where required
• Provide the CP input for the selected RtP system, which in most cases is SunYellowPrint. Provide CP input to SAP implementation, and ensure quality CP solutions are provided, relevant staff are trained, etc.
• Provide Commercial support to Contract Holders during contract execution, and contribute to continuous performance drive
• Contribute to implementation of the HSSE Control Framework and the Goal Zero principles by the contractors and subcontractors
• Prepare and execute Contract Variations

The responsibilities can further be described in more detail as follows:
• Ensuring that Contracts are managed in line with CMCP requirements and that in post award contract management space continual operating performance improvements are realized while at the same time continual improvements are made in reducing overall cost through applying lean concepts and working with contractors to identify improvement opportunities e.g. scope rationalization, Technology implementation etc.
• Ensuring that Contracting Strategies and post Contract Award Management activities are fully aligned to Wells Business needs and support The Wells Top Quartile / Best in Class Delivery objective.
• Key to success will be ensuring that in all the basins in which the client operates, we have a competitive market landscape. This will require the development of existing emerging suppliers, with whom Client has limited experience, and in some instances development of new suppliers to break uncompetitive situations.
• Utilize CP’s "seat at the table" to ensure stakeholder alignment and support for CP strategy and execution plans. Effectively manage a wide and competing array of simultaneous near-term and medium/longer term contracting efforts while managing business support continuity and mitigating staff assignment disruption and inefficiency.
• Provide CP support which underpins Goal Zero Aspiration through implementation of robust Contractor Safety Management from qualification through contractor delivery, often in environments were supplier markets have varying degrees of maturity of HSE Management Systems and performance. Ensure alignment and support for personal and process safety Goal Zero actions in Wells.
• Develop Contracting Strategies are fully aligned with Well Global / Thematic Category Strategies, while at same time ensuring that they are fit for purpose to meet the local environment e.g. Asset Objectives & local supplier market.
• Work in compliance with contracting and procurement processes, procedures (CMCP), and business controls processes (including but not limited to Client Group Business Principles and Export Compliance).
• Establish and maintain quality relationships with key suppliers and stakeholders. Develop an in-depth knowledge of business value drivers in order to adapt and optimize strategies to fluctuating business demands
• Work with Global CP Colleagues to ensure that best practices within Category portfolio are replicated quickly and co-ordinate with Global Category leads on Global Supplier Management activities.
• Ensure that the commercial models chosen deliver the best commercial value, and manage any contingent liabilities, to drive the wells TQ/Best in Class targets. Identify and optimize on learning and synergies between ventures.
• Develop innovative commercial strategies, based on total cost of ownership e.g. considering buy vs. rent and demand management strategies to leverage Client’s position. This will often have to be done in basins were Client is not a key player or is a new entrant. Drive and implement Local Content development opportunities / requirements in full compliance with the Venture objectives.
• Maintain close working relationships with various internal disciplines , i.e. Wells, Logistics, Civils, Global Category Managers, Technical specialists, Legal, HSSE, Risk and Insurance, Finance, and ensure their recommendations are incorporated in all stages of the Contracting process
• Recognize the different cultural and diverse characteristics that influence the Ukrainian contracting environment. Drive and implement local content development opportunities / requirements in full compliance with the Venture objectives and strategies.
• Provide exemplary HSSE leadership to ensure that Group HSSE Policies and Initiatives are disseminated, understood and integrated in all contracts.

Position description - Dimensions
- Full range of Wells contracts, including High Risk / High Value Well Delivery contracts, and the supporting Logistics and Corporate contracts, with total estimated contract value for both ventures above $550MM.
- Possibly 1-2 direct reports, depending on company growth and staff development affinity.
- Internal Interfaces: CP Wells, Unconventionals CP peers, Project Team members (i.e. Wells staff, Project Managers, Exploration BOM’s and Venture Leaders, Subsurface, Operations), Support functions (i.e. HSSE, Legal, Tax, Finance, Risk and Insurance, Logistics, IT), Tender Boards, Global Category Managers and Technical Specialists.
- External Interfaces: Contractors, Government bodies and agencies, JV partners.

Position description - Special Challenges
• Frontier environment with high level of uncertainty, high NTR, and complex Project organization(s) with support from another location and time zone.
• Expected to be independent, a self-starter who can produce results with a minimum of supervision, and a team player contributing to the overall R&R’s of the CP Wells team.
• Maintain performance and HSSE standards while complying with local content requirements
• Ability to deliver with agility and patience in the complex and control admin-intense Ukrainian business / contracting environment
• Regular visits to local work and supplier locations
• Up to several international business trips per annum
• High interaction with Venture Leadership and Technical Team
• High interaction with local contractors and government agencies, for which a native speaker is preferred

Experience and Qualifications required
• 10-15 years of hands-on CP experience, preferably in Wells including:
- Preparation and execution of tenders and contracts
- Stakeholder engagement exposure
- Supplier Management
- Development of tender evaluation models and bid evaluation
- Finalization of contract documents
- Contract Management
• Bachelor degree in Engineering, Applied Sciences, Legal, Business or equivalent
• Effective communication skills at all levels both internally and externally
• Read and write both in English and Ukraine (or Russian) fluently
• Previous experience in multi-cultural / diverse environment
• Proven delivery of Local Content development opportunities
• Familiar with Ukraine ‘market’ and business ethos considered a benefit
• Proven Commercial acumen
• Skill with CP professional competencies
• Knowledge of strategic, technical, legal, finance, tax and commercial issues
• Able to cope with complexity and uncertainty
• Eager to learn and develop CP Wells competences
• Analysis and negotiating skills
• Knowledge of Contracts Forms and their application.
