The Role:
Responsibilities:

1. To lead and manage the Group Secretarial department, including planning and evaluating the department activities
2. Ensure proper compliance with the statutory/ regulatory requirements and governance
3. Ensure proper flow of information/collating of all board papers in respect of pre and post requirements for Board, Board Committees, Shareholder and Management meetings
4. Oversee secretarial related matters of companies incorporated in foreign jurisdictions by working closely with the corporate administrators in the respective foreign jurisdictions

Function/Duties:

1. Compliance
Scope : Monitor and ensure the companies within the Group operate in accordance with its Memorandum and Articles of Association and comply with the relevant statutory / regulatory requirements and Listing requirements (if applicable); supervise and review the implementation of relevant governance code and guidelines, where appropriate.

2. Board and Board Committee Meetings
Scope : Ensure the smooth operation of the companies’ formal decision making and reporting mechanism and all Board Committees are properly constituted with clear terms of reference which are aligned with the Board’s role and responsibilities.

3. General Meetings and Annual Reports
Scope : Ensure all general meetings are held in accordance with the relevant statutory / regulatory requirements, the Articles of Association and the Listing Requirements (if applicable); co-ordinate and liaise with internal and external parties on the convening of the annual general meetings, publication and distribution of annual reports.

4. Advisory
Scope : Provide advice to Board and Management on the statutory requirements and governance aspects within the organisation including conflicts of interest, related party transactions and corporate governance issues.

Essential Skills / Qualifications:
Qualification & Experience:
 An Associate member of MAICSA or Licensed Secretary preferably with legal background
 Minimum 10 years of corporate secretarial experience with at least 3 years in manager role

Specialised / Technical skills / Knowledge required:
 Solid knowledge and know-how in corporate/ securities law and proposals, due diligence exercises and conversant with Listing Requirements of Bursa Malaysia Securities Berhad
 Good command of written and spoken English and proficient in Bahasa Malaysia
